Rental agreement terms

The standard terms contained in every Executive Services digital Rental Agreement. Your signed agreement, quotation, and any mechanical disclosure form the complete contract.

What the agreement records

  • Customer acknowledgement of these terms.
  • Electronic signature with date and time stamp.
  • Driver's licence number of the primary renter and any approved additional drivers.
  • Vehicle VIN and licence plate.
  • Pickup and return location, date, and time.
  • Rental amount, itemised charges, and applicable HST.
  • Security deposit amount and release conditions.
  • Payment authorization for amounts owing under the agreement.
  • Cancellation policy acknowledgement.
  • Mechanical disclosure acknowledgement where applicable.

Parties and Lessor property

  • The agreement is between A A M Ismail Emon, operating as Executive Services (the Lessor), and the renter (the Lessee).
  • The vehicle and all associated property — keys, fobs, plates, documents, devices, accessories and equipment — remain the exclusive property of the Lessor. The renter acquires no ownership interest or lien.
  • The Lessee and every approved additional driver are jointly and severally liable for all obligations, charges, losses, damages, fines and claims.

Transfer of risk and possession

  • All risk and liability transfer to the renter upon receipt of keys or physical possession, whichever occurs first.
  • Risk continues until the vehicle and all Lessor property are returned to and accepted by the Lessor after inspection.
  • Any extension without written approval is unauthorized possession and may result in recovery of the vehicle, additional fees and reporting to authorities.

Mandatory insurance

  • Renters must hold active Canadian automobile insurance covering non-owned vehicles and rentals for consideration, with minimum liability of $1,000,000 (recommended $2,000,000) plus collision and comprehensive coverage.
  • Proof of insurance, insurer contact details and — if requested — confirmation that the policy extends to a paid private rental must be provided before release.
  • Executive Services provides no insurance of any kind.
  • If coverage is denied, limited, delayed, excluded or disputed, the renter remains fully responsible and reimburses all amounts paid by Executive Services or its insurer, including deductibles and legal costs.
  • The renter waives, and causes their insurer to waive, subrogation against Executive Services to the fullest extent permitted by law.

Assumption of risk and financial responsibility

  • The renter assumes all risks arising from the rental, including collision, theft, vandalism, weather, mechanical failure, road conditions, third-party acts, and towing or storage.
  • The renter is 100% financially responsible for damage, loss or diminution of value to the vehicle or Lessor property, including hidden or latent damage, regardless of fault.
  • Loss of rental income during repair downtime, diminished market value, and administrative or claim-handling costs are payable by the renter.
  • The renter indemnifies Executive Services against all claims, lawsuits, settlements, costs and legal fees arising from the rental, including statutory or vicarious liability.
  • To the fullest extent permitted by law, Executive Services' maximum liability is limited to the rental fees paid.

Inspection and conclusive evidence

  • Pre- and post-rental photos and video, inspection checklists, GPS and telematics data, dashcam footage and odometer readings are conclusive evidence of the vehicle's condition and usage.
  • Renters participate in a pre-trip and post-trip inspection on request. Odometer or GPS tampering is a material breach.

Accidents, breakdowns, impoundment

  • Accidents and damage must be reported to police where required and to Executive Services within 24 hours, with full cooperation in any claim or investigation.
  • Driving must stop when warning lights or unsafe conditions appear; damage caused by continued operation is the renter's responsibility.
  • No repairs, towing or parts replacement may be authorized without written approval, except to prevent imminent harm.
  • If the vehicle is seized, impounded, searched, contaminated or held due to the renter's actions, all resulting costs — remediation, storage, release fees and loss of use — are the renter's responsibility.

Fee schedule (Schedule A)

  • Rental rate per day and security deposit as recorded on the agreement.
  • Excess kilometres beyond 300 km per calendar day, charged per kilometre.
  • Fuel shortfall per unit plus an administrative fee.
  • Smoking or vaping remediation: $150, plus cleaning and loss of use.
  • Cleaning or detailing for excessive dirt, stains, odours, pet hair, sand or biohazards.
  • Ticket, toll or violation administrative handling fee per item.
  • Towing, recovery or storage: actual cost plus $300 administrative fee.
  • Key or fob replacement: actual cost plus programming.

Breach, enforcement and collections

  • Breach of these terms may result in immediate termination of the rental, recovery of the vehicle without notice, and charges to the authorized payment method.
  • Prohibited uses include racing, drifting, stunts, off-road driving, towing, transporting illegal substances, ride-share or sub-leasing, commercial use without approval, and impaired driving.
  • Fines, tolls and traffic violations incurred during the rental period remain the renter's responsibility even if received after return, plus an administrative fee per item.
  • Unpaid balances may be sent to collections or pursued in court, and the renter agrees to pay reasonable collection and legal costs.

Force majeure

  • Executive Services is not liable for delays, cancellations or losses caused by weather, road closures, mechanical failure, emergencies or events beyond reasonable control.
  • If a vehicle becomes unavailable, the rental may be terminated and unused rental fees refunded as the sole remedy.

Governing law and general terms

  • This agreement is governed by the laws of Newfoundland & Labrador, Canada, with disputes resolved exclusively in Newfoundland & Labrador courts.
  • Notices may be given by email, SMS or written delivery to the contact details on the agreement.
  • Unenforceable provisions are severed; failure to enforce a right is not a waiver; the agreement and its schedules are the entire agreement.
  • Electronic signatures and initials are valid and binding. Payment, liability, indemnity, evidence, enforcement and collection obligations survive termination.
